Terms of Service

This document is a first pass written for the product and the site as they are built, not legal advice, and not binding until a licensed attorney has reviewed it and it has been formally adopted. The placeholders in brackets are the vendor's to fill.

These terms are an agreement between you and [COMPANY NAME] ("we", "us", "our"). They govern the website at soloinc.ai (the "Site"), the SoloINC software you install on your own Mac or Windows PC and the Desk and Team apps for Android (together, the "Software"), Pro licence keys ("Keys"), and the hosted copy of the Desk you may publish from the Software (the "Hosted Desk"). By using any of them you accept these terms. If you do not agree, do not use them.

1. The Site

The Site is free to use without an account. You agree not to attack, overload or probe the Site beyond ordinary use, and not to submit addresses that are not yours to the waitlist. We may change or withdraw the Site at any time.

2. The Software license

The Software is proprietary and is not open source. It is licensed to you, not sold. Core may be used free of charge under these terms; Pro features require a Key. You may not copy, modify, redistribute, sublicense, reverse engineer or resell the Software except as the law allows despite this restriction. 3. Core and Pro

Core is free. It is the console, the pipeline engine, the runtime, the starter pipelines and the demo company, and it runs a company end to end.

Pro adds the features listed on the pricing page and is unlocked by a Key. A Key is a signed statement that names your email, the number of humans who may sign in, the plan and when it was issued, and it is verified on your machine without an account and without contacting us. Pro is priced per human. A fourteen-day trial of Pro starts at first run. When a Key or a trial lapses the Software keeps working as Core, and nothing of yours is removed.

A Key is for the humans it names. You may not forge, alter or circulate Keys, and you may not present a modified build of the Software as ours or under our name.

4. Purchases and refunds

Pro is sold through Paddle as merchant of record. Paddle's checkout terms govern the purchase, including taxes, currency, renewal and the handling of your payment details; we never see card numbers.

Refunds. Ask within fourteen days of a purchase, by email to [CONTACT EMAIL] or through Paddle, and it is refunded in full. No reason is needed. Renewals follow the same fourteen-day rule from the renewal date. Nothing here limits refund rights that consumer law gives you and that cannot be waived.

5. Your seat and other providers

The Software runs its workloads on the models you connect: a Claude Code subscription, a model provider's API key, or a local engine on your own hardware. A Claude Code subscription is your own agreement with Anthropic; we are not a party to it, we do not hold your credential, and its allowance, limits and terms are theirs. You are responsible for confirming that your plan permits scheduled, unattended use; the Software does not check this for you. Local engines and metered providers you connect are likewise your own accounts under their own terms, and any charge from them is yours.

6. Your machine, your agents, your acts

The Software runs agents on your machine under your account, on companies, pipelines and rules you configure. You are responsible for what you configure them to do, for the hosts you allow them to reach, for the acts you approve at the Desk, and for compliance with the laws that apply to you and to the businesses you run on it.

The Software is designed so that its agents do not spend money, sign anything, publish, or contact a person, and so that those acts wait for you at the Desk. Those are design constraints enforced on your machine, and the trust page describes how. They are not a promise about the outcome of any run, and Section 8 applies to them as to everything else.

You must not use the Software to do anything unlawful, to harm or deceive anyone, or to send unsolicited messages to people.

7. The Hosted Desk

The Hosted Desk is built and encrypted on your machine and published to your own edge account. It is yours: your hosting provider's terms govern it, and we neither operate it nor have access to it.

8. No warranty

THE SITE, THE SOFTWARE, THE KEYS AND THE HOSTED DESK ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THEY WILL BE ACCURATE, UNINTERRUPTED OR ERROR-FREE. WE DO NOT WARRANT THAT ANY OUTPUT OF AN AGENT, ANY MEMO, ANY ROUTING DECISION OR ANY CONTROL WILL BE CORRECT, COMPLETE OR SUITABLE FOR YOUR PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THIS MAY NOT APPLY TO YOU.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [COMPANY NAME] AND ITS OFFICERS, MEMBERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SITE, THE SOFTWARE, THE KEYS OR THE HOSTED DESK, INCLUDING ANYTHING AN AGENT DID OR FAILED TO DO ON YOUR MACHINE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR PRO IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ZERO IF YOU PAID NOTHING. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED BY LAW.

10. Indemnity

You agree to indemnify and hold [COMPANY NAME] harmless from claims, damages and reasonable expenses arising from your use of the Software in breach of these terms or of the law, or from anything the agents you configured did at your direction.

11. Trademarks

SoloINC, the SoloINC mark and the wordmark belong to [COMPANY NAME]. These terms grant no right to use them. Claude and Claude Code are trademarks of Anthropic, PBC. SoloINC is made by 8086 LLC and is not affiliated with or endorsed by Anthropic.

12. Governing law

These terms are governed by the laws of [GOVERNING LAW/VENUE], without regard to conflict-of-law principles, except where mandatory consumer-protection law where you live provides otherwise. Any dispute that cannot be settled between us will be brought in the courts of [GOVERNING LAW/VENUE].

13. Changes to these terms

We may update these terms. The effective date at the top is the date of the latest revision. A material change will be announced on the Site before it takes effect, and continued use after that date is acceptance of the updated terms.
